1. About These Terms

These Terms and Conditions ("Terms") govern your use of the Enpyela website located at enpyela.com (the "Site") and any services provided by Enpyela, a trade name of RTS Capital Enterprises LLC ("we," "us," or "our"), a Washington, DC-based technology consultancy.

By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our services.

2. Services

Enpyela provides AI workflow training and AI receptionist services to professional organizations and small businesses. The specific scope, format, deliverables, and fees for any engagement are set forth in a written proposal or agreement between Enpyela and the client organization.

AI Receptionist. The AI Receptionist is a configured inbound voice service that answers calls placed to a telephone number the client designates, responds using information the client supplies, schedules appointments on the client's calendar, and records call details in the client's customer relationship management system. It is built on third-party platforms, including GoHighLevel, and its availability depends on those platforms and on the client's own telephone and calendar services. Enpyela does not guarantee uninterrupted or error-free operation.

Client responsibilities. The client is responsible for the accuracy of the business information, pricing, availability, and other content supplied for configuration, and for any change the client requests to the configured scripts. The client is responsible for determining whether its use of the service, including any optional call recording, is permitted in the jurisdictions where it and its callers are located, and for obtaining any consent required there. Call recording is disabled by default and is enabled only at the client's written request. Enpyela does not provide legal advice and nothing in the configuration process should be treated as legal advice.

Disclosure. The AI Receptionist identifies itself as an artificial intelligence assistant at the start of every call. Clients may not request configuration that removes or obscures that disclosure.

Fees. Setup fees are one-time and become payable when the client authorizes the build. Monthly fees begin on the go-live date. Usage above the monthly included allowance is billed at the per-minute rate stated in the client's written agreement.

The information on this Site is provided for general informational purposes and does not constitute a binding offer of services. All engagements begin with a discovery conversation, and no services are committed until a written proposal has been accepted by both parties.

3. Booking and Discovery Calls

Discovery calls scheduled through the Site are offered at no charge and carry no obligation to engage services. Enpyela reserves the right to decline or reschedule any call at its discretion. Scheduling a discovery call does not create a client relationship or any contractual obligation on either party.

5. Engagement Terms

When a client organization accepts a written proposal from Enpyela, the following general terms apply unless otherwise specified in writing:

• A deposit of fifty percent (50%) of the total engagement fee is due upon acceptance of the proposal. The remaining balance is due upon completion of the engagement.
• Cancellations received fewer than 72 hours before a scheduled session may result in forfeiture of the deposit, at Enpyela's discretion.
• Rescheduling requests received with at least 72 hours notice will be accommodated without penalty subject to availability.
• Scope changes requested after proposal acceptance may result in adjusted fees, which will be communicated and agreed to in writing before implementation.

6. Intellectual Property

All training materials, curriculum documents, prompt libraries, cheat sheets, and other deliverables created by Enpyela remain the intellectual property of RTS Capital Enterprises LLC unless otherwise agreed in writing. Upon full payment, clients receive a non-exclusive, non-transferable license to use such materials for their internal organizational purposes.

Clients may not reproduce, distribute, sell, or sublicense Enpyela materials to third parties without prior written consent.

Any client materials shared with Enpyela for the purpose of customizing training remain the property of the client. Enpyela will not use, reproduce, or distribute client materials beyond what is necessary to deliver the agreed services.

7. Confidentiality

Enpyela treats all client information, documents, and materials as confidential. Information shared during discovery calls or training sessions will not be disclosed to third parties except as required by law or as necessary to deliver the services. This obligation of confidentiality survives the termination of any engagement.

Clients acknowledge that training sessions may involve discussion of general AI tool capabilities and limitations. Information that clients voluntarily share during sessions in the presence of their own team members is not subject to confidentiality obligations on our part with respect to those same team members.

8. AI Tools and Third-Party Platforms

Enpyela provides training and advisory services related to third-party AI tools including, but not limited to, Claude (Anthropic), ChatGPT (OpenAI), and others, and delivers the AI Receptionist using third-party platforms including GoHighLevel. We are not affiliated with, endorsed by, or agents of any AI platform provider.

The use of any AI tool is subject to that tool's own terms of service and privacy policies. Enpyela is not responsible for the output, accuracy, availability, or data practices of any third-party AI platform. Clients are solely responsible for how they use AI tools following training.

AI tools can produce inaccurate, incomplete, or misleading outputs. Training sessions include an honest discussion of these limitations. Enpyela makes no representation that the use of AI tools will produce specific business outcomes.

9. Disclaimer of Warranties

The Site and all content on it are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. We make no representations about the accuracy or completeness of any information on the Site.

Training services are provided based on current knowledge and best practices at the time of delivery. The AI technology landscape changes rapidly, and information that is accurate at the time of a training session may become outdated. Enpyela does not warrant that any information provided in training will remain current or applicable over time.

10. Limitation of Liability

To the fullest extent permitted by applicable law, RTS Capital Enterprises LLC, its principal, and any associated contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, a discovery call, or any services provided under these Terms, even if advised of the possibility of such damages.

Our total liability for any claim arising from a specific engagement shall not exceed the total fees paid by the client for that engagement.

11. Governing Law

These Terms are governed by the laws of the District of Columbia, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of the District of Columbia, and both parties consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Changes do not affect the terms of any engagement already in progress under a previously accepted written proposal.
